TERMS AND CONDITIONS OF SUBSCRIPTION

These terms and conditions of subscription (“Terms and Conditions”) specify the various terms and conditions that apply to the subscription of any person (the “Subscriber”) to the VIPVacancyClub.ca Privilege Club (the “Service”) with Agence de voyage Mont St-Hilaire inc. (the “Agency”), allowing the Subscriber to obtain points (the “Points”) when booking travel via the dedicated web platform operated by the Agency. By subscribing to the Service, the Subscriber consents to these Terms and Conditions, as they may be subsequently amended by the Agency without prior notice and at its sole discretion.

1 TERMS OF SUBSCRIPTION
1.1 Eligibility. By subscribing to the Service, the Subscriber confirms that he meets the eligibility requirements of the Service, namely to be a Canadian resident and to have reached the age of majority in his province of residence.
1.2 Fees. The fee of the annual subscription varies according to the number of persons who can be included on a travel reservation made from the Subscriber’s account. The fees are established as follows:

To receive Points, each of the travellers included on a Subscriber’s reservation must be able to be included on a reservation made from the Subscriber’s account, the whole in accordance with the annual subscription selected by the Subscriber. However, it is not necessary for the entire group to travel at the same time.
1.3 Taxes. The subscription fee does not include any of the taxes that may be applicable. The Subscriber shall, concurrently with the payment of the subscription fee or at the Agency’s request thereafter, pay the amount of any applicable tax on the subscription fee.
1.4 Subscription. To subscribe to the Service, the Subscriber must complete and submit the subscription form available at the following address: [https://www. VIPVacancyClub.ca /inscription/en] and pay the subscription fee to the Agency by credit card (Visa or Mastercard) as part of the subscription process. The Agency reserves the right to refuse the subscription of any person, as well as cancel it, at its sole discretion, with or without cause. Cancellation of a subscription entails the loss of the privileges indicated in section 2 below.
1.5 Identifiers. The Service is accessible only by using the username and password (collectively the “Identifiers”) that were issued by the Agency as part of the subscription to the Service. The Subscriber is responsible for the use that will be made of the Service, and any access and use made with the Identifiers issued to him will be deemed to have been made by the Subscriber. The Subscriber must be aware that anyone with the Identifiers is able to use the Points accumulated.
The Subscriber is fully responsible for maintaining the confidentiality and security of the Identifiers and to immediately notify the Agency if he knows or suspects that the Identifiers have been lost, stolen, known to another person or used by another person.
1.6 Renewal. Subscription is for a period of 12 months from the date of registration. To renew his subscription in the Service at the end of the initial 12-month period or any subsequent renewal, the Subscriber must complete and submit the renewal form available at the following address: [http:// VIPVacancyClub.ca /renewal] and send payment of the subscription fee to the Agency by one of the payment methods accepted by the Agency as indicated in paragraph 1.4 above.
2 PRIVILEGE GRANTED BY SUBSCRIPTION IN THE SERVICE
2.1 Description of the Privilege. By subscribing to the Service, the Subscriber obtains the following privileges:
2.1.1 Access to the travel booking web platform operated by the Agency and reserved exclusively for Service Subscribers, which is available at: https://www. VIPVacancyClub.ca ;
2.1.2 Priority access to the Agency’s technical support via email or SMS to help the Subscriber make a reservation;
2.1.3 The earning of Points based on spending on the platform as detailed below;
2.1.4 Access to a travel emergency telephone line. This telephone line must only be used in the case of an emergency and not for travel support or advice.
2.2 Non-Transferable Privileges. The privileges granted to the Subscriber are not transferable. The Subscriber may only make travel reservations for his own needs and those of his immediate family according to what he selected at the time of his subscription.
3 OBTAINING POINTS
3.1 Obtaining Points. The Subscriber will obtain seventy (70) Points for every one hundred dollars ($100) before taxes spent on eligible products offered through the web platform. If the Subscriber believes that an error has occurred in the number of Points recorded in his account, he must notify the Agency within 60 days of the date of the transaction for which he notices an error, failing which the balance of his account will be deemed accurate, excluding any number of Points recorded in error by the Agency or one of its agents.
3.2 Referencing Program. A Subscriber who refers a person who becomes a subscriber in the Service will be entitled to receive 100 Points, which will be paid into that Subscriber’s account. In order to obtain these points, the Subscriber must inform the Agency via the page accessible at the following address: http://www. VIPVacancyClub.ca /referal-friends and follow the procedure indicated there on.
3.3 No Obtaining of Points. No Points will be awarded when the terms and conditions imposed or agreed with a supplier of the Agency prevents the awarding of Points. The Agency reserves the right to withdraw Points that would have been awarded in connection with all or part of a transaction, if it is subsequently informed that the supplier prohibits the award of such Points.
3.4 Using of Points. Points may be redeemed for gift cards, prepaid cards or travel vouchers as offered from time to time by the Agency, in accordance with the procedure described on the Service’s website. Under no circumstance may Points be redeemed at a more advantageous ratio for the Subscriber than seven (7) Points for each dollar ($1) of gift card, prepaid card or travel voucher. Points have no monetary or market value and may not be converted into any currency of exchange. Once the Subscriber has requested an exchange of Points, no change or refund of any form whatsoever can be made. All rewards are subject to the terms and conditions applicable to them and are provided on an “as is” basis to the Subscriber, without any representation or warranty from the Agency. A $4 fee will be charged for a Points redemption in the form of a prepaid Mastercard credit card.
3.5 Inactivity. In the event that the Subscriber does not accumulate and use any Points within a one-year period, the Points accumulated may be cancelled by the Agency following the transmission of a notice of inactivity not more than 60 days and not less than 30 days before the cancellation of the Points in question.
3.6 No assignment or security. The Points are non-transferable, inalienable and cannot be the subject of any security (including priorities and mortgages).
4 OTHER APPLICABLE POLCIES
4.1 Satisfaction Guaranteed. The Agency undertakes to refund the subscription fee without question within 90 days of the subscription if the Subscriber is not satisfied with his subscription and has not made a travel reservation and has not used any Points.
4.3 Policies Applicable to the Provision of the Services. The Subscriber acknowledges that other terms and conditions are applicable to the provision of the Services, including those relating to the terms of purchase of travel and the terms relating to their provision. The Subscriber agrees to submit to and comply with these in addition to the present Terms and Conditions.
5 GENERAL PROVISIONS
5.1 Canadian Dollar. Unless otherwise specified, all monetary amounts indicated in the Terms and Conditions are in the lawful currency of Canada.
5.2 Communication with the Agency. For further information regarding the Terms and Conditions, the Service, or the Points, the Subscriber may contact the Agency at the following address:

5.3 Communications from the Agency. We will contact the Subscriber at the address provided by the Subscriber. It is the Subscriber’s responsibility to inform the Agency of any change of address and/or email address.
5.4 No Representations or Warranties. The Agency makes no representations or warranties except as expressly provided in the Terms and Conditions.
5.5 Non-binding Provision. In the event that any provision of the Terms and Conditions is declared invalid or unenforceable, the validity and enforceability of the remaining provisions of the Terms and Conditions shall not be affected.
5.6 Modification. All of the present terms and conditions may be unilaterally amended by the Agency, including those with respect to the future Points accumulation ratio and the goods or services for which the Points may be redeemed, provided that the Agency gives the Subscriber written notice of such amendment not earlier than 90 days and not later than 60 days before the amendment comes into effect. However, compliance with these deadlines is not required when the modification is made to the benefit of the Subscriber.
5.7 Applicable laws. The Terms and Conditions shall be governed by the laws of the Province of Quebec and the law of Canada applicable therein. Except in cases where the Subscriber is a consumer within the meaning of the Consumer Protection Act (Quebec), by participating in the Services, the Subscriber agrees to submit any dispute relating to these Terms and Conditions to the exclusive jurisdiction of the courts of the judicial district of Montreal, province of Quebec, Canada.
